1. Acceptance of These Terms

These Terms and Conditions (“Terms”) govern your access to and use of cuedynamics.com (the “Site”) and your purchase of any Cue Dynamics product or service, including digital products, online courses, and live coaching. By using the Site or completing a purchase, you agree to be bound by these Terms and by our Privacy Policy and Disclaimers, which are incorporated by reference. If you do not agree, do not use the Site or purchase.

2. About Us

Cue Dynamics is a professional education business for Pilates instructors, operated from Toronto, Ontario, Canada. Contact: hello@cuedynamics.com.

3. Eligibility

Our products and services are intended for certified or in-training Pilates instructors and movement professionals. By purchasing, you represent that you are at least 18 years of age (or the age of majority in your jurisdiction) and capable of entering a binding contract.

4. Products and Services

Cue Dynamics offers digital educational products (such as downloadable resources and self-paced courses), live one-to-one coaching sessions, and application-based coaching programs. The specific description, inclusions, duration, and price of each offering are stated on its product page, which forms part of your agreement at the time of purchase.

5. Pricing and Payment

All prices are displayed on the relevant product page or at checkout. Payments are processed securely by Stripe; we do not receive or store your full card details. Prices may change at any time, but changes will not affect purchases already completed. Where a program is described as a single payment, the full amount is due before the program begins.

6. Taxes

Applicable taxes, where required by law, are calculated and disclosed at checkout.

7. Refunds, Cancellations and Rescheduling

Because our products are digital and our coaching is delivered live and personally, the following policy applies:

If something has genuinely gone wrong with your purchase (for example, a technical failure preventing access that we cannot resolve), contact us before initiating any payment dispute and we will work to fix it. Nothing in this section limits any non-waivable rights you have under applicable consumer protection law, including the Ontario Consumer Protection Act.

8. Chargebacks

You agree to contact us to resolve any billing concern before disputing a charge with your card issuer. Chargebacks initiated without first contacting us, where access to the product has been provided as described, may result in suspension of access to all Cue Dynamics products and services.

9. Digital Delivery and Access

Access to digital products is delivered electronically after successful payment, to the email address provided at checkout. Access terms specific to a product (such as duration or drip schedule) are stated on its product page. You are responsible for providing an accurate email address and for maintaining the confidentiality of any access credentials.

10. Scheduling and Attendance

Live sessions are booked through our scheduling provider and take place online at the scheduled time. You are responsible for attending on time with a working connection. Time lost to late arrival is not added to the session.

11. Intellectual Property; Your Licence

All content on the Site and in our products, including course materials, video, audio, text, frameworks, methods, proprietary terminology, workbooks, and visual assets, is the intellectual property of Cue Dynamics and its founder, protected by copyright and other laws. Upon purchase you receive a personal, non-transferable, non-exclusive, revocable licence to access and use the purchased content for your own individual professional development. This licence does not transfer ownership of anything to you.

You acknowledge that breach of Sections 11 or 12 would cause us harm that money alone cannot remedy, and that we are entitled to seek injunctive or other equitable relief in addition to any other available remedies.

14. Feedback and Testimonials

If you provide feedback or a testimonial, we may use it in our marketing only with your express consent, and we will present it anonymously or with initials unless you expressly agree otherwise. You may withdraw consent for future use at any time by contacting us.

15. Third-Party Services

We use third-party providers to operate the business, including Stripe (payments), Acuity Scheduling (booking), Typeform (applications), and Kit (email). Your use of those services is also subject to their own terms and privacy policies. We are not responsible for the acts or omissions of third-party providers.

16. Educational Purposes Only

All products and services are professional education for movement instructors. They do not constitute medical, physiotherapy, rehabilitation, legal, financial, or other regulated professional advice, and no professional-client relationship of that kind is created. The Disclaimers page forms part of these Terms.

17. Health, Safety and Assumption of Risk

Physical exercise carries inherent risk. If you perform, demonstrate, or teach any movement referenced in our materials or sessions, you do so voluntarily and at your own risk. You remain solely responsible for your own physical condition, for the safety of your clients, and for practising within the scope of your certification, insurance, and local regulations.

18. No Guarantee of Results

We do not guarantee any particular outcome, including examination results, certification, employment, client numbers, or income. Any results described on the Site, including the founder’s own, are individual experiences and not promises.

19. Disclaimer of Warranties

The Site and all products and services are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

20. Limitation of Liability

To the maximum extent permitted by law, Cue Dynamics and its founder will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Site or any product or service. To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to these Terms or any purchase is limited to the amount you paid us for the product or service giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

21. Indemnification

You agree to indemnify and hold harmless Cue Dynamics and its founder from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your violation of any law or third-party right, or your teaching or professional practice.

22. Termination

We may suspend or terminate your access to products or the Site if you materially breach these Terms, including the licence and prohibited-use provisions. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) survive.

23. Consumer Rights

These Terms do not exclude, limit, or waive any rights or remedies you may have under applicable consumer protection legislation that cannot lawfully be excluded, limited, or waived, including under the Consumer Protection Act, 2002 (Ontario) where it applies.

24. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Subject to any non-waivable consumer rights, the courts of Ontario have exclusive jurisdiction over any dispute arising out of or relating to these Terms.

25. General

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms; we may assign them in connection with a reorganization or sale of the business. Neither party is liable for delay or failure caused by events beyond its reasonable control. These Terms, together with the applicable product page, the Privacy Policy, and the Disclaimers, are the entire agreement between you and us regarding their subject matter. Nothing in these Terms creates any partnership, employment, or agency relationship.

26. Changes to These Terms

We may update these Terms from time to time. The effective date above will be revised when we do. Changes apply prospectively; your continued use of the Site after changes take effect constitutes acceptance.
